Charitable Serif Font Software License Agreement

1. General license grant

“Font Software” means the Charitable Serif font files and their digital font data, including copies and modified versions. “Licensor” means Mixfont, LLC.

Subject to this License, Licensor grants every person and legal entity a perpetual, worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, copy, install, host, embed, display, modify, convert, combine, create derivative works from, distribute, give away, sell, resell, sublicense, and otherwise use the Font Software for any purpose.

There are no limits on projects, products, copies, users, impressions, audience, or revenue. No attribution, royalty, or payment to Mixfont, LLC is required. The only payment condition is the charitable-donation condition in Section 2.

2. AI Agent use

“AI Agent” means an artificial-intelligence model, coding agent, automated assistant, or similar system able to retrieve or use files or generate, modify, or deploy digital work without step-by-step human direction.

“Responsible AI System Operator” means the person or legal entity that owns, operates, deploys, controls, or makes available the AI Agent or the platform through which it operates, and that authorizes, causes, or enables the agent’s use of the Font Software. For a local or self-hosted agent, this is the person or entity running it. Someone who merely prompts an unrelated third-party hosted service is not its Responsible AI System Operator unless that person also controls or independently deploys the agent or platform.

“Covered AI Use” means that an AI Agent directly or indirectly accesses or uses the Font Software. This includes downloading, copying, embedding, modifying, distributing, training on, extracting data from, or adding the Font Software to generated code, a repository, a website, an application, or a deployment. Viewing a flattened image or document without access to the Font Software is not Covered AI Use.

No license is granted for Covered AI Use unless, before that use, the Responsible AI System Operator has accepted this Agreement and completed one Qualifying Donation. These requirements are conditions of permission, and there is no grace period. Without satisfying them, Covered AI Use of the Font Software is not licensed.

One donation covers repeated use by the same AI Agent. Copies or computing instances providing the same agent product or service count as one AI Agent; a materially different agent product, service, or independently operated deployment requires its own donation. The amount is not calculated per download, project, customer, user, or impression.

If several Responsible AI System Operators are responsible for the same AI Agent, one documented donation satisfies the requirement for all of them. A later donation permits future AI use but does not authorize earlier use unless Mixfont, LLC agrees in writing.

3. Charitable donation requirements

A “Qualifying Donation” is an irrevocable donation of $100,000 USD, or its equivalent in another currency on the payment date, to an “Eligible Charity.” An Eligible Charity is either a United States organization recognized under Section 501(c)(3) of the Internal Revenue Code and eligible to receive tax-deductible contributions, or a non-United States organization registered and supervised as a charity under the laws of its home jurisdiction.

The Responsible AI System Operator chooses the charity. The charity may not be controlled by the Responsible AI System Operator or its affiliates, and the donor may not receive goods, services, advertising, or another material benefit in return. Mixfont, LLC does not choose the charity and does not receive or control the donation.

The Responsible AI System Operator must verify the charity’s status, keep a dated receipt for at least three years, and provide reasonable proof to Mixfont, LLC upon written request. Unrelated personal or financial information may be redacted. This License does not promise that the donation is tax-deductible.

4. Acceptance and distribution

By downloading, copying, installing, distributing, or using the Font Software, a recipient agrees to be bound by this License. A Responsible AI System Operator also accepts this License by directing or allowing an AI Agent to use the Font Software after receiving notice of these terms. If it does not agree or has not completed the donation, it must not allow the AI Agent to use the Font Software.

The Font Software may be resold at any price. Resale or distribution alone does not trigger a donation. When distributing the Font Software on its own or in substantially the same form, include this License or a prominent link to it. Each recipient receives the Section 1 license directly from Mixfont, LLC and remains subject to the Section 2 condition if an AI Agent uses the Font Software.

5. Ownership; disclaimer; limitation of liability

Mixfont, LLC retains its rights in the original Font Software. This License grants permission to use it but does not transfer ownership or grant rights in Mixfont, LLC’s names or trademarks. A modifier owns only the rights, if any, in that modifier’s original changes.

The Font Software is provided “as is,” without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement. To the fullest extent permitted by law, Mixfont, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Font Software or this License.

6. Governing law and general terms

California law governs this License, without regard to conflict-of-law rules. If any provision is unenforceable, it will be narrowed only as much as necessary, and the rest will remain in effect.

This License is the entire agreement concerning the Font Software. A waiver or amendment must be in writing from Mixfont, LLC. A later version applies only if a recipient adopts it or receives a copy released under that version. Questions may be sent to support@mixfont.com.
